These Privacy, Terms, and Conditions (“Terms”) apply to websites operated by Dave Fant Company of Arkansas Inc., including W5SWL Electronics and Dave's Hobby Shop by W5SWL (collectively, “Seller,” “we,” “us,” or “our”). By accessing one of our websites (“Site”) or placing an order, you agree to these Terms to the extent permitted by applicable law.

1. General

We operate our Sites and sell products from the United States. These Terms govern use of the Sites and purchases made directly from us. Purchases made through third-party marketplaces may also be governed by the terms and policies of the applicable marketplace.

We may update these Terms from time to time. Changes apply prospectively from the date posted unless applicable law requires otherwise. The version posted on the Site at the time of a transaction generally governs that transaction.

2. Eligibility and Responsible Use

The Sites and products are intended for use by adults capable of entering into legally binding transactions. Products involving electricity, electronics, RF energy, antennas, tools, test equipment, mechanical installation, or other technical applications must be installed and used by persons with appropriate knowledge, skill, supervision, and safety precautions.

The buyer is responsible for determining whether a product and its intended use comply with applicable laws, codes, regulations, licensing requirements, manufacturer instructions, and safety requirements.

3. Consumers, Commercial Purchasers, and Resale

Our products are generally offered for purchase by end users and are not offered for resale unless we expressly agree otherwise in writing.

Product integrators, manufacturers, assemblers, installers, and other commercial purchasers are welcome to purchase from us. However, unless expressly stated in a written product description or agreement issued by Seller, our products are not offered, designed, tested, certified, approved, or warranted for incorporation into another product, assembly, manufacturing process, commercial system, or safety-critical application.

A commercial purchaser, integrator, or consumer is solely responsible for evaluating, testing, validating, and approving the product for its intended application and for determining compliance with all applicable technical requirements, specifications, standards, laws, and regulations. Seller's acceptance of an order does not constitute approval of the buyer's intended application.

By placing an order, you represent that the products are not being purchased for resale. We may limit quantities, request additional information, or decline or cancel an order when we reasonably believe the products are being purchased for resale, export contrary to our policies, fraud, or another prohibited purpose.

4. Products, Descriptions, and Technical Suitability

We make reasonable efforts to describe products accurately. Photographs, colors, packaging, dimensions, specifications, compatibility information, and other details may vary slightly or may be changed by a manufacturer without notice. Unless we expressly state otherwise, accessories, tools, cables, adapters, or other items shown for context are not included.

The buyer is solely responsible for reviewing the product description and determining whether a product is suitable and compatible for the buyer's intended use. Any dimensions, specifications, compatibility information, technical assistance, or application guidance we provide is general information and does not replace the buyer's own engineering evaluation, testing, installation, inspection, or compliance with applicable codes and regulations.

Unless expressly warranted by Seller in writing, we make no representation or guarantee concerning the performance of a product when it is installed, modified, incorporated into, connected to, or used with another product, component, cable, device, assembly, or system.

We may correct descriptions, specifications, availability, and other information at any time. A material error discovered after an order is placed is governed by Section 5.

5. Orders and Acceptance

Placing an order is an offer to purchase. An automated order confirmation acknowledges receipt of the order but does not by itself constitute final acceptance. We may accept, decline, limit, or cancel an order before shipment for reasons including suspected fraud or resale, pricing or description errors, inventory shortages, payment problems, address or carrier restrictions, hazardous-material restrictions, quantity limits, or other legitimate business reasons.

If we cancel an order after payment has been captured, we will refund the canceled amount to the original payment method. We may supply less than the quantity ordered and refund the unavailable quantity. Once an order has entered processing or shipped, cancellation may no longer be possible.

6. Prices, Billing, Taxes, and Payment

Prices, promotions, and availability may change without notice. The price charged is the price shown when the order is submitted, subject to correction of an obvious or material error. Unless expressly stated otherwise, prices exclude shipping and applicable taxes.

You represent that you are authorized to use the payment method provided and authorize us and our payment processors to charge all amounts shown at checkout. We may decline a payment method or order based on our internal fraud, payment, address, or risk review.

We collect and remit sales or similar taxes when required. A purchaser claiming exemption must provide acceptable exemption documentation before the transaction is completed or as otherwise allowed by law.

Before initiating a payment dispute or chargeback, please contact us in good faith and allow up to 48 hours for a response when reasonably possible. This request does not waive any right or deadline that cannot lawfully be waived or any deadline imposed by a card issuer or payment provider.

7. Shipping and Delivery

Shipping charges and available services are displayed at checkout after a delivery address is entered. When Standard or Flat Rate Shipping is selected, we choose the carrier and service based on the order, destination, package requirements, and available services.

We normally ship Monday through Friday, excluding U.S. holidays, subject to our daily cutoff and processing requirements. Processing and delivery dates are estimates, not guarantees. Weather, carrier backlogs, labor disruptions, power or internet failures, incorrect addresses, government action, and other events beyond our reasonable control may cause delay.

From time to time, we attend professional events and hamfests. It is our intention to let you know details if we can through a Site notice or by email communication.

Some orders may require a signature or adult signature based on order value, contents, destination, fraud-prevention factors, or other shipping considerations. A carrier, including UPS, may redirect a package to an Access Point or similar pickup location if no one is available. The recipient may have to collect it and provide identification.

8. International Orders

At this time, our website does not accept international orders unless expressly stated otherwise. International transactions made through an authorized third-party marketplace are subject to that marketplace's international shipping, customs, tax, and import procedures.

9. Returns and Refunds

Unless otherwise stated for a particular product, eligible returns must be requested within 30 days of delivery. Contact us before returning an item to obtain return instructions or an RMA when required.

Returned merchandise must be complete and in substantially the same condition in which it was received, including applicable accessories, packaging, manuals, and components. Products that have been installed, modified, soldered, cut, crimped, damaged, abused, altered, or otherwise made unsuitable for resale may be ineligible for return except where applicable law requires otherwise.

A restocking fee of up to 25% may apply when permitted by law based on the condition of the returned merchandise, missing components or packaging, testing required, or other loss in value attributable to the return.

Unless the return results from our error or defective merchandise for which we are responsible, the buyer is responsible for return shipping and original outbound shipping charges are not refundable.

Refunds are normally issued to the original payment method after the returned merchandise has been received and inspected.

10. Warranty and Product Condition

Any specific warranty applicable to a product will be stated in the product description or accompanying documentation. Manufacturer warranties, when applicable, are provided by the manufacturer and are subject to the manufacturer's terms.

Except for warranties expressly provided by Seller and to the fullest extent permitted by applicable law, products are provided without additional express or implied warranties by Seller, including implied warranties of merchantability or fitness for a particular purpose. Some jurisdictions do not permit certain warranty exclusions, so these limitations may not apply to every purchaser.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Seller will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from use of a Site or product, including loss of profits, revenue, data, use, business opportunity, or equipment downtime.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

12. Third-Party Services and Links

The Sites may contain links to, or use services provided by, third parties such as payment processors, shipping carriers, marketplaces, security providers, or other service providers. Their websites and services are governed by their own terms and privacy practices.

A link to a third-party website does not necessarily constitute endorsement, sponsorship, or affiliation.

13. Privacy

Information We Collect

We collect personal information reasonably necessary to operate our Sites, process transactions, provide customer service, maintain security, prevent fraud and abuse, and comply with legal and business obligations.

Depending on how you interact with us, this information may include:

  • identifiers and contact information, such as your name, billing and delivery addresses, email address, and telephone number;
  • account information, login-related records, preferences, and communications with us;
  • order and transaction information, including products ordered, amounts paid, shipping details, returns, refunds, and customer-service history;
  • payment-related information. Payment card and similar credentials are generally collected and processed by our payment providers, and we generally do not receive or retain complete payment-card numbers;
  • device, browser, network, and Site-usage information, such as IP address, device type, browser type, pages viewed, referring pages, approximate location derived from an IP address, and interactions with the Site;
  • information used for fraud prevention, security, transaction verification, spam or bot prevention, and legal compliance; and
  • reviews, photographs, feedback, or other information you voluntarily submit.

We receive information directly from you, automatically through the Sites and similar technologies, and from service providers or marketplaces involved in your interaction or transaction.

How We Use Information

We may use personal information to:

  • operate, maintain, secure, and improve the Sites and our business;
  • create and manage accounts, process payments and orders, arrange shipping, provide delivery updates, and handle returns or refunds;
  • communicate with you, respond to requests, and provide customer service or technical assistance;
  • detect and prevent fraud, misuse, security incidents, prohibited resale, spam, automated abuse, and violations of these Terms;
  • maintain business, tax, accounting, warranty, transaction, and legal records;
  • comply with law, valid legal process, marketplace requirements, and enforceable obligations;
  • measure and improve Site operation and performance using services that are enabled on the Site; and
  • provide marketing or advertising only when such services are deliberately enabled by us and permitted by applicable law.

Advertising and Tracking

We seek to minimize unnecessary advertising and behavioral tracking on our Sites. We do not currently use third-party advertising conversion measurement on the Site for Google Ads or Google Analytics advertising campaigns. Disabling advertising measurement does not prevent us from using services such as Google Merchant Center to publish or synchronize product information with search and shopping services.

Our Sites and the Shopify platform may nevertheless process technical, device, browser, network, security, performance, fraud-prevention, and transaction information necessary to operate and protect the Site and provide requested services.

We may change or add Site services in the future. If we enable technology that materially changes how personal information is collected, used, or shared, we will update our disclosures and privacy controls as appropriate.

When Information Is Disclosed

We do not sell or rent customer lists or personal information for money, and we do not provide personal information to unrelated third parties for their independent direct-marketing use.

We disclose personal information only as reasonably necessary for the purposes described in this Section 13, including to:

  • Shopify and providers that host, operate, secure, support, or analyze the Sites;
  • payment processors, fraud-prevention services, financial institutions, and transaction-verification providers;
  • shipping carriers, postal operators, delivery services, and other parties needed to fulfill or resolve an order;
  • email, communications, information-technology, cloud-storage, customer-service, security, anti-spam, bot-prevention, and other vendors performing services for us under appropriate obligations;
  • analytics, advertising, or marketing providers if and when those services are enabled and permitted by applicable law;
  • a marketplace or platform when the transaction or interaction occurs through that marketplace or platform;
  • accountants, attorneys, insurers, and other professional advisers when reasonably necessary;
  • courts, law-enforcement agencies, regulators, government authorities, or other parties when required by valid legal process or when we reasonably believe disclosure is necessary to comply with law;
  • appropriate parties when reasonably necessary to investigate fraud, protect safety or security, enforce these Terms, establish or defend legal claims, or protect the rights or property of Seller, a customer, or another person; and
  • a purchaser, successor, or adviser in connection with a proposed or completed merger, financing, reorganization, sale of assets, or transfer of all or part of the business, subject to applicable law and appropriate confidentiality protections.

Some privacy laws define “sale,” “sharing,” or “targeted advertising” more broadly than an exchange of personal information for money. Where such laws apply, we provide notices, consent choices, or opt-out methods as required by applicable law.

Cookies and Similar Technologies

The Sites and their service providers may use cookies, local storage, scripts, pixels, and similar technologies for Site operation, account functions, preferences, security, fraud prevention, spam or bot prevention, performance measurement, and other functions necessary or useful for operating the Sites.

We seek to limit nonessential advertising and behavioral-tracking technologies. Technologies used by Shopify or other service providers may still process device or browser information for security, fraud prevention, performance, transaction processing, or other operational purposes.

Depending on your location and applicable law, you may be able to control certain nonessential technologies through a Site privacy banner, privacy settings, the “Your Privacy Choices” mechanism, or your browser. Blocking essential technologies may prevent parts of a Site, account, form, cart, or checkout from functioning correctly.

Because there is no uniform standard for browser Do Not Track signals, the Sites may not respond to them. We honor legally required privacy preference signals, including Global Privacy Control (GPC), where applicable and technically supported.

Your Privacy Choices

Where applicable, the Site provides a Your Privacy Choices mechanism through Shopify. This mechanism may allow visitors in applicable jurisdictions to opt out of activities that applicable privacy law defines as the sale or sharing of personal information or targeted advertising. Availability and operation of these choices may depend on the visitor's location and applicable law.

Where supported and legally required, a recognized Global Privacy Control (GPC) signal may also be treated as an opt-out request for the browser or device sending that signal.

Providing these privacy choices does not mean that we sell customer lists or personal information for money, nor does it mean that every activity covered by an available privacy control necessarily occurs on the Site. Privacy-law definitions and requirements vary by jurisdiction.

Data Retention

We retain personal information for as long as reasonably necessary for the purposes for which it was collected, including completing transactions, providing customer service, preventing fraud, maintaining business and tax records, resolving disputes, enforcing agreements, and complying with legal obligations.

Retention periods vary depending on the type of information, the transaction, our legal obligations, and legitimate business requirements.

Security

We use reasonable administrative, technical, and organizational measures appropriate to the nature of the information and our business to protect personal information. No website, network, storage system, or transmission method can be guaranteed to be completely secure.

Children

Our Sites are not directed to children, and we do not knowingly solicit personal information from children through the Sites. If we learn that personal information from a child has been collected in circumstances where applicable law requires parental consent, we will take appropriate action.

Privacy Requests

Depending on your residence and applicable law, you may have rights relating to access, correction, deletion, portability, or certain uses or disclosures of personal information.

Privacy requests may be submitted through our Contact Us form. We may need to verify your identity before processing a request. We will not unlawfully discriminate against a person for exercising an applicable privacy right.

14. Intellectual Property

W5SWL Electronics, Dave's Hobby Shop by W5SWL, by W5SWL, CoaxParts, and associated names, logos, product photographs, descriptions, graphics, and original Site content may be trademarks, copyrighted works, or other intellectual property owned by or licensed to Seller.

Buying a product does not appoint the buyer as Seller's reseller, distributor, representative, agent, licensee, or affiliate and does not authorize the buyer to use Seller's branding for resale, distribution, manufacturing, integration, endorsement, or promotional purposes.

Copyrighted Content

You may not copy, reproduce, republish, modify, distribute, scrape, upload, transmit, commercially exploit, remove ownership notices from, or create derivative works from Seller's original content without prior written permission, except as allowed by law.

Seller may enforce its rights through copyright and trademark notices, the Digital Millennium Copyright Act, marketplace intellectual-property programs, platform reporting systems, takedown requests, cease-and-desist demands, litigation, or other lawful remedies.

Other Owners' Marks and Lawful References

Other product and company names belong to their respective owners. Seller's reference to another owner's mark for identification or compatibility information does not imply affiliation, sponsorship, or endorsement.

Nothing in these Terms prohibits truthful identification of a genuine product, lawful comparative advertising, commentary, criticism, or another use protected by applicable law, provided the use does not create a false or misleading impression of source, sponsorship, approval, affiliation, authorization, or warranty responsibility.

15. Prohibited Uses

You may not use a Site or our content to violate law; commit fraud; infringe intellectual-property, privacy, or other rights; introduce malicious code; interfere with security or operation; impersonate another person; harvest personal information; send spam; evade purchase limits; make purchases for prohibited resale; or engage in abusive, threatening, or harmful conduct toward our personnel or other users.

You may not use any robot, spider, scraper, data-extraction system, automated purchasing system, artificial-intelligence agent, or similar process to access, copy, monitor, purchase from, or interact with a Site without our prior written permission. This restriction does not prohibit ordinary public search-engine indexing that complies with our robots.txt instructions, ordinary browser functions used by an individual customer, or accessibility technology used for its intended purpose.

You may not conceal automated access; misrepresent an automated system as a person; circumvent purchase limits, security measures, access restrictions, CAPTCHAs, robot-exclusion instructions, or other technical controls; or use automated means to reserve, purchase, or remove inventory from availability for others.

We may restrict or terminate access, cancel an affected order, and preserve or disclose relevant information when reasonably necessary to protect the Sites, Seller, customers, third parties, or legal rights and obligations.

16. Suspension and Termination

We may restrict, suspend, or terminate access to a Site or account, decline future transactions, cancel an unshipped order, or take other reasonable protective action if we believe a person has violated these Terms, engaged in fraud or abuse, threatened the security or operation of a Site, infringed our rights or the rights of another party, attempted unauthorized resale, or created an unreasonable risk of loss or liability.

If we cancel a paid but unshipped order under this Section, we will refund the canceled purchase amount except to the extent a deduction, hold, or other action is permitted by applicable law, the payment provider, or the governing marketplace. Termination or restriction of access does not eliminate obligations or liabilities arising before termination.

17. Feedback, Reviews, and Submitted Content

If you voluntarily submit a review, photograph, suggestion, correction, or other content to us, you represent that you have the right to submit it and that it is accurate and lawful. You grant Seller a nonexclusive, worldwide, royalty-free license to use, reproduce, display, and adapt that content for operating, improving, and promoting our business, subject to applicable privacy law. This license does not transfer ownership of your content to us.

18. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless Seller and its directors, officers, employees, and agents from third-party claims, damages, judgments, costs, and reasonable attorneys' fees to the extent caused by your unlawful conduct, material breach of these Terms, infringement of another person's rights, unauthorized resale, or misuse or unauthorized modification of a product.

This obligation does not require you to indemnify a protected party for that party's own negligence, willful misconduct, or other liability that cannot legally be shifted to you.

19. Governing Law and Venue

To the extent permitted by applicable law, these Terms and transactions with Seller are governed by the laws of the State of Arkansas, without regard to conflict-of-law principles.

Any legal action that is not required by applicable law to be brought elsewhere shall be brought in a court of competent jurisdiction serving Franklin County, Arkansas, or the applicable federal court having jurisdiction over that area.

Nothing in this section deprives a consumer of a non-waivable right or protection provided by applicable law.

20. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed to the minimum extent necessary, and the remaining provisions will continue in effect.

21. No Waiver

Our failure to enforce a provision of these Terms on one occasion does not waive our right to enforce that provision or another provision later.

22. Entire Agreement

These Terms, together with applicable product descriptions, shipping and return policies, checkout disclosures, and any written agreement expressly issued by Seller, constitute the agreement governing use of the Sites and direct purchases from Seller.

23. Force Majeure

We are not responsible for delay or failure caused by circumstances beyond our reasonable control, including natural disasters, severe weather, fire, flood, war, terrorism, civil disturbance, government action, carrier disruption, labor disputes, utility failure, internet or telecommunications failure, cyberattack, supply interruption, or similar events.

24. California Proposition 65

California Proposition 65 generally exempts businesses with fewer than ten employees from its warning requirements. To the extent Seller qualifies for that exemption, Seller relies on it. Manufacturer-provided Proposition 65 warnings, labels, or notices associated with a product remain applicable and must not be removed or disregarded. Nothing in this Section is a representation that a product contains or does not contain a listed chemical.

25. Contact Information

Questions about these Terms, privacy, an order, shipping, or a return should be submitted through the Contact Us form on the applicable Site. Privacy choices relating to certain data sharing or targeted advertising may also be available through the Site's Your Privacy Choices mechanism where applicable.
